Definitions

- Services: Refers to the accounting advisory services provided by AccuAi, including operational accounting, controllership, month-end close processes, AR/AP tracking, QuickBooks consulting, and other advisory services as agreed upon in the Statement of Work (SOW).

- SOW: Refers to the Statement of Work outlining the specific scope of Services for a client, which forms part of these Terms.
Acceptance of Terms
By using the Website (including the AccuAi LinkedIn page) or Services, you agree to be bound by these Terms of Service (“Terms”) and all other operating rules, policies, and procedures that may be published from time to time by AccuAi, including the Privacy Policy and Disclaimer, which are incorporated by reference. AccuAi may, in its sole discretion, refuse to offer the Services to any person or entity and change its eligibility criteria at any time.

Payment Terms
Payment terms vary depending on the client’s situation and the tenure of engagement. AccuAi may charge fixed fees or hourly rates, as outlined in your SOW. All payments must be made in accordance with the terms specified in the SOW. Failure to make timely payments may result in service suspension or termination.
Unless otherwise stated, fees do not include federal, state, local, or foreign taxes, duties, or other similar assessments (“Taxes”). You are responsible for all Taxes associated with your purchase, and AccuAi may invoice you for such Taxes. You agree to timely pay such Taxes and provide documentation showing the payment or additional evidence as reasonably required by AccuAi.
Cancellation and Refund Policy
You may cancel your engagement with AccuAi and request a refund only if the Services have not yet commenced. Once Services begin, cancellations and refunds are not permitted unless otherwise agreed in writing. To request a cancellation, contact us at contact@accuaiaccounting.com.
User Responsibilities
As a client or user of the Website, you agree to:
- Provide accurate and complete financial data necessary for AccuAi to perform its Services.
- Respond to requests from AccuAi in a timely manner to ensure efficient service delivery.

AccuAi’s total liability under these Terms, whether related to Services or Website usage, shall not exceed the greater of the fees paid by you for the Services in question or $100.
Termination of Services
AccuAi reserves the right to terminate or suspend your access to the Website (including the AccuAi LinkedIn page) or Services at its sole discretion, including but not limited to the following conditions:
- Non-payment of fees as outlined in the SOW.
- Misuse of AccuAi’s Services, including unauthorized sharing of proprietary methods or tools.
- Unacceptable behaviors, such as harassment or abuse toward AccuAi staff, including via LinkedIn interactions.
- Refusal to accept reasonable price increases as communicated by AccuAi.
- Provision of fraudulent or misleading financial data.
- Failure to comply with legal or regulatory requirements.
- Breach of confidentiality, such as disclosing AccuAi’s proprietary processes to third parties.
Either party may terminate the Services for any reason upon written notice. Upon termination, all information associated with your account may be forfeited and destroyed, and you remain responsible for any outstanding fees owed to AccuAi. Any fees paid are non-refundable.
Dispute Resolution
Any disputes, claims, demands, or causes of action (“Claims”) arising out of or relating to these Terms, the Website (including the AccuAi LinkedIn page), the Services, or any aspect of the relationship or transactions between you and AccuAi shall be resolved exclusively through the following process:
- Informal Negotiation: You must first attempt to resolve the Claim through good-faith negotiation by providing AccuAi with a written notice of the Claim, describing the nature and basis of the Claim in sufficient detail and the specific relief sought. AccuAi will attempt to resolve the Claim within 60 calendar days from the date the notice is received.
- Binding Arbitration: If the Claim is not resolved within 60 days, it shall be submitted to final and binding arbitration in Portland, Oregon, under the rules of the American Arbitration Association (AAA). The arbitration shall be governed by the Federal Arbitration Act (FAA). The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction to enforce the arbitration award. Each party shall bear its own costs, except that the arbitrator may award costs and fees to the prevailing party.
- Prohibition of Class and Representative Actions: You and AccuAi agree that each may bring Claims against the other only on an individual basis and not as a plaintiff or class member in any purported class or representative action or proceeding.
- No Court Involvement: Except to enforce an arbitration award, neither party may seek resolution of any Claim in a court of law, whether by a judge or jury, ensuring that arbitration is the sole and exclusive method of dispute resolution.
Force Majeure
AccuAi shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, cyberattacks, government actions, or third-party service failures .
Indemnification
You agree to defend, indemnify, and hold harmless AccuAi, its affiliates, and its employees, contractors, directors, and representatives from any liabilities, losses, claims, damages, or expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use or misuse of the Website (including the AccuAi LinkedIn page) or Services.
- Your breach of these Terms.
- Your provision of inaccurate, incomplete, or fraudulent data.
- Your violation of any applicable laws, contracts, policies, regulations, or third-party rights, including LinkedIn’s terms of service.
AccuAi reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will assist and cooperate with AccuAi in connection therewith.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, USA, without regard to its conflict of law principles. The Federal Arbitration Act shall govern the interpretation and enforcement of the arbitration provisions in the Dispute Resolution section. All disputes must be resolved through arbitration as outlined in the Dispute Resolution section, and neither party may seek resolution in a court of law except to enforce an arbitration award.
Changes to These Terms
AccuAi may update these Terms from time to time to reflect changes in our practices or legal requirements. We will notify you of significant changes by posting the updated Terms on our Website with an updated effective date. Your continued use of our Services or Website after such changes constitutes your acceptance of the updated Terms.
